Terms of Use

These Terms of Use (the “Terms”) form a legally binding agreement between you (the “User” or “you”) and NEUROVEX TECHNOLOGIES SARL, an information technology services company headquartered in Marrakesh (“Orka”, “we”, or “us”), publisher of the platform available at orka.ma and its related mobile applications (together, the “Platform” or the “Services”). By creating an account, checking the acceptance box, or otherwise using the Services, you acknowledge that you have read, understood, and accepted these Terms and our Privacy Policy, which forms an integral part of them. If you do not accept these Terms, you must not access or use the Services. If you use the Services on behalf of a school, institution, or other entity, you represent and warrant that you have authority to bind that entity, which will then be subject to these Terms.

For these Terms, the following expressions have the meanings below: • “Account”: the personal space created by a User to access the Services. • “AI Content”: any text, summary, exercise, quiz, revision sheet, mind map, illustration, audio, or other output produced by the Platform’s artificial intelligence features in response to your requests. • “User Content”: any content you upload, enter, or transmit through the Services, including courses, notes, documents, images, and messages. • “Pro Subscription”: the paid plan that provides access to advanced Platform features. • “Premium Content”: course videos (Orka Videos), podcasts, transcripts, and other resources reserved for subscribers. • “Third-Party Providers”: providers of infrastructure, AI models, payment services, delivery, and email services used by Orka to provide the Services (see the Privacy Policy).

Orka is a learning and revision platform for students preparing for the Moroccan Baccalaureate. The Services include, among other things: • an AI-powered conversational assistant and tutor; • generation of personalized exercises, quizzes, exam questions, summaries, revision sheets, mind maps, and flashcards; • interactive visualizations and educational illustrations generated on request; • podcasts and course videos (Orka Videos), some of which are reserved for subscribers; • a knowledge-tracking model, progress dashboard, activity statistics, points, and badges; • community features such as study groups, multiplayer quizzes, rankings, and post-Bac orientation tools. The Services may evolve over time. Orka may add, modify, suspend, or remove all or part of a feature, especially where a feature is experimental or offered in beta.

Access to the Services requires creation of an Account using an email address and password, or through “Sign in with Google” or “Sign in with Apple”. You agree to provide accurate, complete, and up-to-date information, including a valid email address, and to update it if anything changes. Some email registrations require confirmation using a one-time code. You are solely responsible for keeping your credentials confidential and for activity carried out through your Account. You agree to report any unauthorized use promptly to contact@orka.ma. Each Account is strictly personal. Sharing, reselling, or making an Account available to a third party is prohibited. You can review and revoke active Account sessions from the security settings.

The Services are intended for students at Baccalaureate level. You must be at least 13 years old to create an Account. If you are under 18, you represent that you use the Services under the supervision of a parent or legal guardian who accepts these Terms on your behalf and remains responsible for your use. Orka may refuse or close an Account that appears not to meet these age requirements.

Orka offers a free plan with daily usage limits and a paid Pro Subscription priced at 100 DH per month. The Pro Subscription may begin with a three (3) day free trial that requires a payment method to be registered. • Automatic renewal: the Pro Subscription renews automatically each month. After any trial period and at each billing date, the amount is charged automatically unless you cancel beforehand. • Payment providers: web payments are processed by our payment provider acting as merchant of record; purchases made through the iOS application are processed by Apple through the App Store. The provider’s terms apply to the transaction, including any applicable taxes. • Cancellation: you may cancel at any time from your account area or, for subscriptions purchased through the App Store, from your Apple account settings. Cancellation takes effect at the end of the current billing period; Pro access remains active until that date and then ends. • Refunds: amounts already paid are non-refundable unless mandatory law requires otherwise or our Refund Policy expressly provides for a refund. For a payment dispute, contact contact@orka.ma within thirty (30) days.

Orka may offer promotional codes and a referral program that can provide benefits, subject to applicable conditions, such as a free period of Pro Subscription or bonus messages. These benefits are personal, non-transferable, have no cash value, cannot be exchanged for money, and may be used only once per Account. Orka may modify, suspend, or end these programs and may cancel any benefit obtained through fraud, abuse, or violation of these Terms.

Subject to compliance with these Terms, Orka grants you a personal, limited, non-exclusive, non-transferable, and revocable right to use the Services solely for personal and educational purposes. No other rights are transferred. In particular, you must not: • copy, modify, distribute, sell, rent, or sublicense any part of the Services or Platform content; • share your Account, resell access to the Services, or use them commercially; • reverse engineer, decompile, or attempt to extract source code, models, or underlying prompts; • bypass or attempt to bypass security measures, quotas, usage limits, or Premium Content protections; • use bots, scrapers, or other automated means to access the Services or extract data; • upload unlawful, defamatory, hateful, violent, sexual, deceptive, or rights-infringing content; • upload malware or interfere with the integrity, availability, or performance of the Services; • impersonate another person or violate another person’s privacy; • use the Services to train or improve a competing artificial intelligence model.

AI Content is generated automatically using language models and may contain errors, inaccuracies, omissions, or unsuitable wording. It is provided for informational and educational purposes and is not an official course, advice from a qualified teacher, or a guarantee of exam results. You are responsible for checking and validating AI Content before relying on it. Orka does not guarantee the accuracy, completeness, originality, or suitability of AI Content for a particular need. Similar requests submitted by different users may produce identical or similar outputs. Any usage quota is consumed independently of the quality of the result produced.

You retain all rights you hold in your User Content. You represent that you have the rights and permissions needed to submit it to the Platform and that it does not infringe any third-party rights. You grant Orka a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt, and process your User Content only to the extent necessary to operate and provide the Services, for example to generate a response, summary, or visualization and to provide backup and security. This license ends when you delete the relevant content or your Account, subject to legal retention periods and technical backups described in the Privacy Policy. You should not submit sensitive or highly confidential data through the Services, such as health data, complete bank details, or identity documents, unless it is necessary for the educational use of the Platform.

The Platform and all of its components, including source code, architecture, interfaces, design, trademarks, logos, text, databases, algorithms, prompts, and prompt templates, are the exclusive property of NEUROVEX TECHNOLOGIES SARL or its licensors and are protected by Moroccan and international intellectual property law. All rights not expressly granted are reserved. AI Content returned in response to your requests is licensed to you on a personal, non-exclusive, and non-transferable basis solely for personal and educational purposes, subject to the rights of third-party AI model providers. Commercial exploitation, publication, or redistribution of AI Content or Platform content without prior written authorization is prohibited. If you send us suggestions or feedback, you authorize us to use them freely without compensation or confidentiality obligations.

Certain resources — including course videos (Orka Videos), podcasts, and related transcripts — are Premium Content reserved for Pro subscribers. Access is strictly personal and is protected by technical controls such as time-limited playback tokens and request rate limits. You may not download, record, redistribute, publicly broadcast, or bypass the protection of this Premium Content. Any attempt to circumvent these protections may result in immediate suspension of the Account, without limiting any other remedies available to Orka.

You agree to use the Services in good faith, for lawful and educational purposes, and in compliance with these Terms, applicable laws, and third-party rights. Orka may, at its discretion, remove content, restrict a feature, or suspend an Account in the event of a breach, abusive use, a substantiated report, or a risk to the security or integrity of the Platform or its users.

Orka strives to provide continuous access to the Services but does not guarantee uninterrupted, error-free, or fault-free availability. The Services rely on Third-Party Providers for hosting, AI models, payments, video delivery, and email delivery. Orka is not responsible for interruptions, delays, errors, or losses attributable to these providers or to force majeure events. Scheduled or emergency maintenance may result in temporary unavailability.

You may stop using the Services and delete your Account at any time from the application settings (immediate deletion) or through orka.ma/suppression-compte (processed within 30 days). Orka may suspend or terminate your access, with or without prior notice depending on the seriousness of the breach, in the event of a violation of these Terms, fraud, abuse, non-payment, prolonged inactivity, a legal requirement, or a risk to the Platform. Termination results in loss of access to the Services and the associated history, including progress, generated content, and library items. Amounts already due remain payable, and no refund is provided for termination resulting from a breach. Provisions that by their nature are intended to survive termination, including intellectual property, warranty disclaimers, limitation of liability, indemnification, and governing law, remain in effect.

To the fullest extent permitted by law, the Services and AI Content are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or continuity. Orka does not guarantee that the Services will meet your expectations, that AI Content will be accurate, complete, or suitable for your situation, or that your academic or exam results will improve.

To the fullest extent permitted by law: • Orka is not liable for indirect, incidental, special, or consequential damages, including loss of data, loss of opportunity, loss of academic results, or reputational or non-material harm; • Orka’s total liability for all damages is limited to the amount you actually paid to Orka for the Services during the twelve (12) months preceding the event giving rise to the claim, or 500 DH if no payment was made; • Orka is not responsible for the acts of Third-Party Providers, errors in AI Content, the actions of other users, or losses resulting from your failure to secure your Account. Nothing in these Terms is intended to exclude liability that cannot be excluded under Moroccan law.

You agree to defend, indemnify, and hold harmless Orka, its officers, employees, and partners from any claim, action, judgment, damage, cost, or expense, including reasonable defense costs, arising from your use of the Services in violation of these Terms or the law, your User Content, or your infringement of a third party’s rights.

The processing of your personal data is described in the Privacy Policy, which explains the categories of data collected, the purposes of processing, legal bases, service providers, retention periods, and how to exercise your rights under Law No. 09-08. By using the Services, you acknowledge that you have read this policy.

Orka may change these Terms to reflect changes to the Services, applicable regulations, or our practices. If a change is material, you will be informed by email and/or through a visible notice on the Platform at least thirty (30) days before it takes effect. Continuing to use the Services after that date constitutes acceptance of the updated Terms. If you do not accept them, you must stop using the Services and close your Account.

These Terms are governed by Moroccan law. In the event of a dispute concerning their validity, interpretation, or performance, the parties will first seek an amicable solution. If no agreement is reached within sixty (60) days, the dispute will be submitted to the exclusive jurisdiction of the courts of Marrakesh, Morocco, subject to any mandatory rules of jurisdiction that protect consumers.

• Entire agreement: these Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and Orka concerning the Services. • Severability: if any provision is found invalid, the remaining provisions remain fully effective. • No waiver: Orka’s failure to enforce a provision does not constitute a waiver of that provision. • Assignment: you may not assign these Terms without Orka’s written consent; Orka may assign them as part of a reorganization or transfer of business. • Notices: communications may validly be made by email, in-product notification, or publication on the Platform.
